NETZEROI360 Board of Directors – Job Description
Overview
NETZEROI360, a division of BayArea Compliance LLC, is a national leader in sustainable healthcare and biotechnology compliance solutions. Our mission is to help organizations achieve zero waste, net-zero emissions, and regulatory excellence through innovation,
circular economy partnerships, and environmental leadership.
The Board of Directors will provide strategic guidance, fiduciary oversight, and mission alignment as NETZEROI360 scales its impact across environmental, social, and governance (ESG) sectors.
Position Title:
Member, Board of Directors 2026
Reports To: Chief Executive Officer (CEO) – BayArea Compliance / NETZEROI360

Commitment:
Quarterly board meetings (virtual or in-person), with subcommittee participation as needed
Average commitment: 5–10 hours per month
Key Responsibilities:
1. Strategic Leadership & Governance
• Guide NETZEROI360 's long-term strategy, mission, and vision to achieve national sustainability and compliance goals.
• Oversee ESG, climate, and compliance programs that align with California SB 253, SB 261, ISO 14001, 9001, 45001, and federal EPA/OSHA frameworks.
• Support transparent and ethical governance consistent with stakeholder interests and NETZEROI360 ’s commitment to environmental justice.
2. Financial & Fiduciary Oversight
• Review and approve annual budgets, financial reports, and investment strategies.
• Ensure accountability for sustainable revenue growth through strategic partnerships and operational efficiency.
• Oversee fiscal integrity and responsible use of funds toward net-zero and waste minimization objectives.

3. Program Oversight & Impact Evaluation
• Evaluate the effectiveness of recycling, waste diversion, and carbon reduction programs.
• Support the measurement and reporting of ESG performance indicators, GHG dashboards, and community sustainability metrics.
• Provide feedback on annual sustainability and compliance reports.

4. Partnership & Advocacy
• Act as an ambassador for NETZERO360’s brand, expanding partnerships with biotech, healthcare, and municipal sectors.
• Promote innovation in recycling, renewable energy, and sustainable procurement practices.
• Advocate for equitable access to sustainability resources across diverse communities and institutions.

5. Compliance & Risk Oversight
• Ensure adherence to legal, regulatory, and ethical standards across environmental, occupational safety, and corporate governance domains.
• Review and support risk management policies and internal control systems for compliance with state and federal mandates.

Qualifications:
• Demonstrated expertise in one or more of the following:
• Environmental health & safety (EHS)
• ESG and sustainability leadership
• Finance, legal, or compliance oversight
• Circular economy, waste management, or renewable energy
• Biotechnology, healthcare operations, or public policy
• Experience serving on a board or in senior leadership preferred.
• Strong commitment to environmental sustainability, ethical leadership, and community impact.

Compensation
This is a volunteer or stipend-based position (depending on role and funding stage). Travel and meeting expenses may be reimbursed.
